Egypt offers several investment frameworks, but a useful setup plan begins with the business activity rather than a cheap package. Company formation, operating licences, tax treatment and an owner's residence are related tasks with separate approvals.
Choose the structure and investment regime
GAFI's Investor Service Centre supports company incorporation and associated services. Legal forms can include limited-liability companies, joint-stock companies and single-person companies, depending on the applicable law and eligibility.
Compare the ordinary investment framework with public or private free zones and any relevant special economic-zone regime. SCZONE should not be treated as simply another name for every GAFI free zone. Activity, location, export model and licensing affect which option is suitable.
Foreign ownership needs an activity-level check
Do not translate general investment protections into a promise of unrestricted ownership in every activity and place. Sector requirements, land rules, security review and areas such as Sinai can require particular analysis.
Ask an Egyptian lawyer to confirm the exact activity and ownership arrangement in writing before committing capital or signing a long lease. An online incorporation form is not evidence that every additional licence has been granted.
Step-by-step setup pathway
1. Define the activity and customers
Specify what the company will do, where goods or services will be delivered and whether it needs import, export or professional permissions.
2. Prepare company documents
Confirm the chosen legal form, proposed name, owners, managers, address and required capital evidence. Obtain the current GAFI checklist before arranging foreign-document authentication and Arabic translation.
3. Incorporate and complete registrations
Follow the approved route for incorporation and related commercial, tax and operating registrations. Determine whether the activity needs a regulator's approval, local premises licence or environmental consent beyond formation.
4. Arrange banking and accounting
Prepare beneficial-ownership and source-of-funds evidence for bank checks. Set up bookkeeping, tax filings and payroll obligations with an Egyptian accountant before trading or hiring.
5. Apply for the appropriate personal status
Investor residence requires its own evidence and authority process; the Investment Law's protections are not a substitute for an issued permit. Confirm the period, renewal, family and work conditions with GAFI and immigration authorities.
Is a free zone tax-free?
Free zones have specific customs and financial rules, eligible activities and ongoing obligations. Incentives are conditional; describing Egypt as a blanket tax haven or assuming every sale is exempt would be misleading.
Request a written comparison of ordinary corporate and indirect taxes, zone charges, domestic-market sales, payroll, customs and annual compliance. A separate Golden Licence for qualifying projects is not a personal Golden Visa.
Build a complete cost and timeline sheet
- Incorporation and registry charges, capital requirements where applicable.
- Translation, authentication, legal and accounting fees.
- Premises, deposits, utilities and operating approvals.
- Bank charges, zone charges and annual filings.
- Immigration, work-permit and eligible family applications.
No single verified all-inclusive fee or two-to-four-week promise covers every project. Ask what happens if a bank, regulator or immigration office needs further evidence.
Residence, citizenship and next steps
Investor residence and the separate citizenship-by-investment programme must not be conflated. Passive property ownership, a company certificate or an agent's assurance does not establish automatic citizenship or unrestricted employment.
Read our legal relocation guide before moving the family. Use licensed local professionals for the actual transaction, and compare itemised proposals rather than promotional headline prices.
