Lebanon offers entrepreneurial skills and established commercial networks, but a responsible business plan must address legal structure, current operating conditions and finance. Incorporation is only one step, and it does not automatically provide residence or permission to work.
Define the activity and ownership first
Write down the exact service or product, customers, shareholders and funding source. Check sector-specific restrictions and licensing requirements before selecting a company type or signing a lease.
Do not assume that a general statement welcoming foreign investment removes rules affecting regulated activities, property or professional practice. Eligibility needs to be assessed for the actual proposal.
Choose a structure with qualified advice
Official guidance describes options including limited liability and joint stock companies, alongside arrangements relevant to foreign businesses. The right choice depends on ownership, governance, liability and the intended activity.
Some older online explanations conflict with later reforms. Use the current government registration process and legal advice, not a copied minimum-capital or shareholder rule from an undated article.
A practical registration sequence
- Prepare the business and financial plan and check the proposed name.
- Secure an appropriate registered office and supporting occupancy documents.
- Prepare constitutional documents and complete the applicable registration stages.
- Confirm tax, accounting and employment registrations relevant to the business.
- Obtain operational and sector licences before beginning regulated activity.
The government portal distinguishes incorporation from subsequent licences. A registration certificate does not mean a restaurant, industrial facility or regulated service may immediately begin operating.
Foreign managers and staff
Work authorisation and residence need separate attention through the responsible labour and General Security processes. A shareholder, director, employee and dependant may have different requirements.
Read our Lebanon relocation guide before assuming a visitor visa can be used to manage a local business. Do not promise staff a guaranteed conversion after arrival.
Budget for actual operations
Ask for separate figures for official registration, legal work, translation, premises, sector permits, accounting, tax administration, staff permissions and renewals. Confirm the currency, payment method and quote validity.
Also assess power, backup supply, internet, insurance and logistics at the proposed address. Banking access and the treatment of transfers must be checked directly with the bank; old descriptions of unrestricted money movement are not a current banking guarantee.
Tax and timing claims to avoid
Lebanon should not be advertised as a blanket tax haven. Company profits, payroll, consumption and cross-border issues can create distinct obligations; obtain a current written tax analysis instead of using a single old rate.
No universal package price or guaranteed completion period is asserted here. Ask a licensed adviser for an itemised plan, authority responsibilities, realistic milestones and refund terms before committing funds.
